Acceptance of Terms
By accessing or using Promendation (the "Service"), operated by Promendation Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use Promendation. By using the Service, you represent and warrant that you meet these requirements.
User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed.
User Conduct
You agree to use Promendation lawfully and respectfully. You will not:
- Post false, misleading, defamatory, or fraudulent content
- Harass, threaten, or impersonate other users
- Use the platform for any illegal purpose
- Attempt to circumvent security or scrape data
- Solicit payments or financial arrangements through on-platform messaging
Off-Platform Interactions & Disclaimer of Liability
Important: Promendation never facilitates, processes, or holds any payment between users. Any financial arrangement between a Promender and an Industry Expert is entirely off-platform and outside our control.
Promendation is a platform that facilitates introductions and structured referral workflows between Promenders and Industry Experts. Promendation is not a recruitment agency, employment agency, staffing firm, escrow service, payment processor, or financial intermediary between users.
No Financial Transactions Between Users On-Platform
Promendation does not facilitate, process, hold, or mediate any financial transactions between Promenders and Industry Experts. The platform does not enable any peer-to-peer payments. If users independently choose to enter into financial arrangements with one another, those arrangements occur entirely off-platform and outside of Promendation's systems, control, and oversight.
Disclaimer of Liability for Off-Platform Arrangements
PROMENDATION INC. IS NOT A PARTY TO ANY AGREEMENT, ARRANGEMENT, TRANSACTION, OR INTERACTION THAT OCCURS BETWEEN USERS OUTSIDE OF THE PROMENDATION PLATFORM. PROMENDATION EXPRESSLY DISCLAIMS ALL LIABILITY — WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE — ARISING FROM OR RELATED TO ANY OFF-PLATFORM ARRANGEMENT BETWEEN USERS, INCLUDING BUT NOT LIMITED TO:
- Any financial payment, exchange, or agreement made between a Promender and an Industry Expert outside of the platform
- Any failure by an Industry Expert to submit, forward, or follow through on a referral commitment made outside the platform
- Any employment outcome, or lack thereof, resulting from a referral or introduction facilitated through the platform
- Any violation by an Industry Expert of their employer's internal referral policies, employment contract, or any applicable workplace policy
- Any dispute, loss, damage, or harm arising from user interactions that occur outside of Promendation's platform or systems
User Responsibility
Users are solely responsible for evaluating the suitability, trustworthiness, and appropriateness of other users before entering into any off-platform arrangements. Promendation strongly encourages all users to exercise caution and independent judgment in any interactions that occur outside the platform.
Reporting
If you believe another user has acted in bad faith, engaged in fraudulent conduct, or violated these Terms of Service, please report the user immediately using the in-platform reporting tools or by emailing support@promendation.com. Promendation will investigate all reports and may suspend or remove users found to be in violation of these Terms.
Boost & Payments
Boost purchases are payments made directly to Promendation Inc. for increased visibility of posts or announcements on the platform. Boost is the only on-platform payment mechanism. Boost charges are processed by Stripe and are non-refundable except where required by law.
Content & Intellectual Property
You retain ownership of the content you post on Promendation. By posting, you grant Promendation a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content as needed to operate the Service. The Promendation name, logo, and software are owned by Promendation Inc.
Termination
We may suspend or terminate your account at any time if you violate these Terms or engage in conduct we determine, in our sole discretion, to be harmful to other users or the Service. You may close your account at any time.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT REFERRALS WILL RESULT IN INTERVIEWS, OFFERS, OR EMPLOYMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMENDATION INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
